Draft Companies Rules 2013 Is Available For Download

Pursuant to the Companies Act 2013 which was enacted on 29.08.2013, the Ministry of Corporate Affairs has released the Draft Companies Rules 2013.

The Rules deal with the following aspects: Chapter I – Preliminary, Chapter II -Incorporation of Company and matters incidental thereto, Chapter VI – Registration of Charges, Chapter VIII – Declaration and payment of dividend, Chapter IX – Accounts of Companies, Chapter X – Audit and auditors, Chapter-XI – Appointment and qualifications of directors, Chapter XII – Meetings of board and its powers, Chapter-XVI – Prevention of oppression and mismanagement, Chapter-XVIII – Removal of names of companies from the register of companies, Chapter XIX – Revival and rehabilitation of sick companies, Chapter- XXII – Companies incorporated outside India, Chapter XXIV – Registration offices and fees, Chapter –XXIX – Miscellaneous, Chapter XXVI – Nidhis, Chapter XXVII – National Company Law Tribunal Rules, 2013, National Company Law Tribunal (Salary, Allowances and other Terms and Conditions of Service of President and other Members) Rules 2013, National Company law Appellate Tribunal (Salaries and Allowances and other Terms and Conditions of Service of the Chairperson and other Members) Rules, 2013.

The Ministry of Corporate Affairs has invited comments and suggestions with regard to the said Draft Rules by 8.10.2013. The comments & suggestions are required to be posted here.
